Terms & Conditions
This agreement consists inclusively of Sections A to D (as applicable) (Agreement) below made between:
- you, the organization placing an order (you, Customer); and
- Luuc Ltd at registered office: 275, Halo Tower, Stratford, London, UK E15 2FT (Luuc Limited, we, our, us).
Each a ‘party’, together the ‘parties’

SECTION C: TERMS
- Interpretation
The following definitions and rules of interpretation apply in this Agreement.
1.1 Definitions:

Intellectual Property Rights

2. Basis of contract
- The Order constitutes an offer by the Customer to purchase Products and/or Services in accordance with this

3. Products
- The Products are described in any literature provided by us, the applicable Products Specification or are available to view in our showroom (as applicable).
- Products will be manufactured in accordance with the applicable Products Specification, however, in relation to containers (glass, ceramics, metal or otherwise) a tolerance not exceeding one eighth of an inch or 3mm shall be allowed in any.
- To the extent that the Products are to be manufactured in accordance with a Product Specification supplied by the Customer, the Customer shall indemnify Luuc against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Luuc arising out of or in connection with any claim made against Luuc for actual or alleged infringement of a third party's Intellectual Property Rights arising out of or in connection with our use of the Products This clause 3.2 shall survive termination of this Agreement.
- We reserve the right to amend the Products Specification if required by any applicable statutory or regulatory requirement, and we shall notify the Customer in any such event.
- If a Customer requests samples of Products for press, photography or similar are to be requested in advance of performance of the Services or manufacture of the Products, at an agreed
- Where Luuc issues a sample of a Product bespoke to the Customer, prior to manufacture, Luuc shall not commence such manufacture until the Customer has communicated its approval of the samples to Luuc in writing (such approval not to be unreasonably withheld or delayed). The Customer’s approval of the samples constitutes irrevocable confirmation that:
- the Products will be manufactured in conformity with the samples (or differing only within normal industry tolerances) and comply with the Product Specification; and
- The Products meet the relevant industry standards, as applicable, and requirements of quality, except for defects which are not capable of being revealed on reasonable inspection by the
4. Delivery or Collection of Products
- Luuc shall ensure that:
- each delivery (or collection) of the Products is accompanied by a note which shows the date of the Order, all relevant Customer and/or Luuc reference numbers, the type and quantity of the Products (including the code number of the Products, where applicable), special storage instructions (if any) and, if the Order is being delivered by instalments, the outstanding balance of Products remaining to be delivered; and
- It states clearly on the note any requirement for the Customer to return any packaging material to Luuc. The Customer shall make any such packaging materials available for collection at such times as Luuc shall reasonably Returns of packaging materials shall be at Luuc' expense.
- Luuc shall deliver the Products or the Customer shall collect from the Location at any time after Luuc notifies the Customer that the Products are
- If the Customer is arranging its own collection of the Products, the Customer (or its nominated representative) shall collect the Products from the Location within three Business Days of Luuc notifying the Customer that the Products are

- Any dates quoted for delivery or collection of the Products are approximate only, and the time of delivery is not of the essence. Luuc shall not be liable for any delay in delivery or failure to deliver the Products that is caused by a Force Majeure Event or the Customer's
Failure to provide Luuc with adequate delivery instructions or any other instructions that are relevant to the supply of the Products.
- If Luuc fails to deliver the Products, its liability shall be limited to the costs and expenses incurred by the Customer in obtaining replacement products of similar description and quality in the cheapest market available, less the price of the
- If the Customer fails to accept delivery of the Products or collect the Products within three Business Days of Luuc notifying the Customer that the Products are ready, then except where such failure or delay is caused by a Force Majeure Event or by Luuc' failure to comply with its obligations under this Agreement in respect of the Products:
- delivery of the Products shall be deemed to have been completed at 00 am on the third Business Day following the day on which Luuc notified the Customer that the Products were ready (applicable only if Luuc delivers the Products); and/or
- Luuc shall store the Products until delivery or collection takes place, and charge the Customer for all related costs and expenses (including insurance).
- If ten Business Days after Luuc notified the Customer that the Products were ready for delivery or collection the Customer has not accepted delivery of them or collected the Products, Luuc may resell or otherwise dispose of part or all of the Products and, after deducting reasonable storage and selling costs, account to the Customer for any excess over the price of the Products or charge the Customer for any shortfall below the price of the

5. Quality of Products
- Luuc warrants that on delivery the Products shall:
- Conform with their description and any applicable Products Specification;
- be free from material defects in design, material and workmanship; and
- Be of satisfactory quality (within the meaning of the Sale of Goods Act 1979).
- Subject to clause 3, Luuc shall, at its option, repair or replace the defective Products, or refund the price of the defective Products in full if:
- the Customer gives notice in writing within a reasonable time of discovery, and in any event within 7 (seven) days’, that some or all of the Products do not comply with the warranty set out in clause 1;
- Luuc is given a reasonable opportunity of examining such Products; and
- The Customer (if asked to do so by Luuc) returns such Products to Luuc' place of business at Luuc'
- Luuc shall not be liable for the Products' failure to comply with the warranty in clause 1 if:
- the Customer makes any further use of such Products after giving a notice in accordance with clause 2;
- the defect arises because the Customer failed to follow Luuc' oral or written instructions as to the storage, installation, commissioning, use or maintenance of the Products or (if there are none) good trade practice;
- the defect arises as a result of Luuc following any drawing, design or Products Specification supplied by the Customer;
- the Customer alters or repairs such Products without the written consent of Luuc;
- the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal working conditions; or
- The Products differ from the Products Specification as a result of changes made to ensure they comply with applicable statutory or regulatory.
- Except as provided in this clause 5, Luuc shall have no liability to the Customer in respect of the Products' failure to comply with the warranty set out in clause 1.
- This Agreement shall apply to any repaired or replacement Products supplied by
6. Title and Risk
- The risk in the Products shall pass to the Customer on completion of
- Title to the Products shall not pass to the Customer until:
- Luuc receives payment in full (in cash or cleared funds) for the Products and any other products that Luuc have supplied to the Customer in respect of which payment has become due, in which case title to the Products shall pass at the time of payment of all such sums; and
- The Customer resells the Products, in which case title to the Products shall pass to the Customer at the time specified in clause 4.
- Until title to the Products has passed to the Customer, the Customer shall:
- store the Products separately from all other products held by the Customer so that they remain readily identifiable as Luuc' property;
- not remove, deface or obscure any identifying mark or packaging on or relating to the Products;
- maintain the Products in satisfactory condition and keep them insured against all risks for their full price on Luuc' behalf from the date of delivery;
- notify Luuc immediately if it becomes subject to any of the events listed in clause 1.2 to clause 15.1.4; and
- Give Luuc such information relating to the Products as Luuc may require from time to
- Subject to clause 5, the Customer may resell or use the Products in the ordinary course of its business (but not otherwise) before Luuc receives payment for the Products. However, if the Customer resells the Products before that time:
- it does so as principal and not as Luuc’ agent; and
- Title to the Products shall pass from Luuc to the Customer immediately before the time at which resale by the Customer
- If before title to the Products passes to the Customer the Customer becomes subject to any of the events listed in clause 1.2 to clause 15.1.4, then, without limiting any other right or remedy Luuc may have:
- the Customer's right to resell Products or use them in the ordinary course of its business ceases immediately; and
- Luuc may at any time:
- require the Customer to deliver up all Products in its possession which have not been resold, or irrevocably incorporated into another product; and
- If the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the Products are stored in order to recover
7. Supply of Services
- Luuc shall supply the Services to the Customer in accordance with the Service Specification in all material.
- Luuc shall use all reasonable endeavors to meet any performance dates for the Services specified in the Order or Service Specification, but any such dates shall be estimates only and time shall not be of the essence for the performance of the Services.
- Luuc reserves the right to amend the Service Specification if necessary to comply with any applicable law or regulatory requirement, or if the amendment will not materially affect the nature or quality of the Services, and Luuc shall notify the Customer in any such
- Luuc warrants to the Customer that the Services will be provided using reasonable care and

8. Customer's Obligations
- The Customer shall:
- ensure that the terms of the Order and any information it provides in the Service Specification and/or the Products Specification (as applicable) are complete and accurate;
- co-operate with Luuc in all matters relating to performance of the Services and/or manufacture of the Products;
- provide Luuc, its employees, agents, consultants and subcontractors, with access to the Customer's premises, office accommodation and other facilities as reasonably required by Luuc to provide the Services;
- provide Luuc with such information and materials as Luuc may reasonably require in order to supply the Services or provide the Products, and ensure that such information is complete and accurate in all material respects;
- obtain and maintain all necessary licenses, permissions and consents which may be required for performance of the Services or manufacture of the Products before the date on which the Services are to start or the date on which manufacturing commences;
- comply with all applicable laws, including health and safety laws;
- keep all Luuc Materials at the Customer's premises in safe custody at its own risk, maintain Luuc Materials in good condition until returned to Luuc, and not dispose of or use Luuc Materials other than in accordance with Luuc' written instructions or authorization; and
- Comply with any additional obligations as set out in the Service Specification and/or the Products
- If Luuc' performance of any of its obligations under this Agreement is prevented or delayed by any Customer Default:
- without limiting or affecting any other right or remedy available to it, Luuc shall have the right to suspend performance of the Services or manufacture of the Products until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations in each case to the extent the Customer Default prevents or delays Luuc' performance of any of its obligations;
- Luuc shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Luuc' failure or delay to perform any of its obligations as set out in this clause 2; and
- The Customer shall reimburse Luuc on written demand for any costs or losses sustained or incurred by Luuc arising directly or indirectly from the Customer
9. Free Issued Components
- Free issued components must be delivered to Luuc no later than 3 (three) weeks prior to the date the finished Products become available for delivery. Free issued components are to be supplied fully quality inspected and assured, ready for use and with an approved However, Luuc will undertake an AQLI of free issued display boxes, labels and glass.
- If the AQLI returns a reject rate of less than 5% (five percent), then we will pack off and deliver up to 5% (five percent) below the Order
- If the AQLI gives a reject rate of greater than 5% (five percent), then the Customer will be given 3 (three) options:
- Pay for a full quality inspection of the component at a rate of £50 per person per hour, to give the full extent of the reject rate. We will then pack off the available product stock and await the replacement component(s);
- pack off up to 100% of the component, marketing rejects separately to be charged at full price;
- the Customer arranges collection of the free issued component to carry out a full inspection, which will incur a line stoppage fee of £500 plus VAT;

10. Charges and Payment
- The price for Products:
- shall be the price set out in the Order; and
- Shall be exclusive of all costs and charges of packaging, insurance, transport of the Products, which shall be invoiced to the
- The charges for Services shall be as set out in the Order or Services
- Luuc reserves the right to:
- increase the charges for the Services;
- increase the price of the Products;
By giving notice to the Customer at any time before delivery, to reflect any increase in the cost of the Products or Services to Luuc that is due to:
- any factor beyond the control of Luuc (including foreign exchange fluctuations, increases in taxes and duties, and increases in labor, materials and other manufacturing costs);
- any request by the Customer to change the delivery date(s), quantities or types of Products ordered, or the Product Specification; or
- any delay caused by any instructions of the Customer in respect of the Products or Services or failure of the Customer to give Luuc adequate or accurate information or instructions in respect of the Products or Services.
- In respect of Products, Luuc shall invoice the Customer on or at any time after completion of delivery. In respect of Services, Luuc shall invoice the Customer on or at any time after completion of the
- The Customer shall pay each invoice submitted by Luuc:
- within 30 (thirty) days of the date of the invoice, or, in accordance with any credit terms agreed by Luuc and confirmed in writing to the Customer; and
- In full and in cleared funds to a bank account nominated in writing by Luuc.
- The Customer acknowledges that time for payment shall be of the essence of this
- All amounts payable by the Customer under this Agreement are exclusive of amounts in respect of Where any taxable supply for VAT purposes is made under this Agreement by Luuc to the Customer, the Customer shall, on receipt of a valid VAT invoice from Luuc, pay to Luuc such additional amounts in respect of VAT as are chargeable on the supply of the Services or Products at the same time as payment is due for the supply of the Services or Products.
- If the Customer fails to make a payment due to Luuc under this Agreement by the due date, then, without limiting Luuc' remedies under clause 15 (Termination), the Customer shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this clause 8 will accrue each day at 4% a year above the Bank of England's base rate from time to time, but at 4% a year for any period when that base rate is below 0%.
- All amounts due under this Agreement shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
- Luuc reserves the right to perform any relevant financial or credit checks on the Customer, where
11. Intellectual Property
- All Intellectual Property Rights in or arising out of or in connection with the Products and/or Services (other than Intellectual Property Rights in any materials provided by the Customer) shall be owned by

- The Customer shall indemnify Luuc against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all and other reasonable professional costs and expenses) suffered or incurred by Luuc arising out of or in connection with any claim made against Luuc for actual or alleged infringement of a third party's Intellectual Property Rights or moral rights arising out of or in connection with the use of the Customer Intellectual Property Rights, in accordance with this.
- The Customer's liability under this indemnity is conditional on Luuc discharging the following obligations. If any third party makes a claim, or notifies an intention to make a claim, against Luuc that may reasonably be considered likely to give rise to a liability under this indemnity (Claim), Luuc shall:
- as soon as reasonably practicable, give written notice of the Claim to the Customer, specifying the nature of the Claim in reasonable detail;
- not make any admission of liability, agreement or compromise in relation to the Claim without the prior written consent of the Customer;
- give the Customer and its professional advisers access at reasonable times (on reasonable prior notice) to its premises and its officers, directors, employees, agents, representatives or advisers, and to any relevant assets, accounts, documents and records within the power or control of Luuc, to enable the Customer and its professional advisers to examine them and to take copies (at the Customer's expense) to assess the Claim; and
- Be deemed to have given the Customer sole authority to avoid, dispute, compromise or defend the
- Nothing in clause 7 shall restrict or limit Luuc general obligation at law to mitigate a loss it may suffer or incur as a result of an event that may give rise to a claim under this indemnity.
12. Data Protection
- Both parties will comply with all applicable requirements of the Data Protection This clause 12 is in addition to, and does not relieve, remove or replace, a party's obligations under the Data Protection Legislation.

13. Confidentiality
- Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party, except as permitted by clause 2.

Each party may disclose the other party's confidential information:
- To its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the party's obligations under this Agreement. Each party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party's confidential information comply with this clause 13; and
- As may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.
- Neither party shall use the other party's confidential information for any purpose other than to perform its obligations under this
14. Limitation of Liability: THE CUSTOMER'S ATTENTION IS PARTICULARLY DRAWN TO THIS CLAUSE.
- Nothing in this Agreement limits any liability which cannot legally be limited, including but not limited to liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; and
- breach of the terms implied by section 12 of the Sale of Goods Act 1979 or section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession).
- Subject to clause 1, Luuc' total liability to the Customer shall not exceed the price paid for the Products or Services (as applicable) in the 12 (twelve) months prior to the Claim.
Luuc' total liability includes liability in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement.
- Subject to clause 1, the following types of loss are wholly excluded by the parties.
- loss of profits;
- loss of sales or business;
- loss of agreements or contracts;
- loss of anticipated savings;
- loss of use or corruption of software, data or information;
- loss of or damage to goodwill;
- Indirect or consequential
- Luuc have given commitments as to compliance of the Products and Services with relevant specifications in clause 5 and clause In view of these commitments, the terms implied by sections 13 to 15 of the Sale of Goods Act 1979 and sections 3, 4 and 5 of the Supply of Products and Services Act 1982 are, to the fullest extent permitted by law, excluded from this Agreement.

15. Termination
- Without affecting any other right or remedy available to it, either party may terminate this Agreement with immediate effect by giving written notice to the other party if:
- the other party commits a material breach of its obligations under this Agreement and (if such breach is remediable) fails to remedy that breach within fourteen (14) days after receipt of notice in writing to do so;
- the other party takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business or, if the step or action is taken in another jurisdiction, in connection with any analogous procedure in the relevant jurisdiction;
- the other party suspends, or threatens to suspend, or ceases or threatens to cease to carry on all or a substantial part of its business; or
- The other party's financial position deteriorates to such an extent that in the terminating party's opinion the other party's capability to adequately fulfil its obligations under this Agreement has been placed in
- Without affecting any other right or remedy available to it, Luuc may terminate this Agreement with immediate effect by giving written notice to the Customer if:
- the Customer fails to pay any amount due under this Agreement on the due date for payment; or
- There is a change of control of the
- Without affecting any other right or remedy available to it, Luuc may suspend the supply of Services or all further deliveries of Products under this Agreement or any other contract between the Customer and Luuc if the Customer fails to pay any amount due under this Agreement on the due date for payment, the Customer becomes subject to any of the events listed in clause 1.2 to clause 15.1.4, or Luuc reasonably believes that the Customer is about to become subject to any of them.
16. Consequences of Termination
- On termination of this Agreement:
- the Customer shall immediately pay to Luuc all of its outstanding unpaid invoices and interest and, in respect of Services and/or Products supplied but for which no invoice has been submitted, Luuc shall submit an invoice, which shall be payable by the Customer immediately on receipt;
- The Customer shall return all of Luuc Materials, Test Reports and any Deliverables or Products which have not been fully paid for. If the Customer fails to do so, then Luuc may enter the Customer's premises and take possession of them. Until they have been returned, the Customer shall be solely responsible for their safe keeping and will not use them for any purpose not connected with this.
- Termination of this Agreement shall not affect any rights, remedies, obligations and liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of this Agreement which existed at or before the date of

17. General
- Force Neither party shall be in breach of this Agreement nor liable for delay in

17.3 Notices
- Any notice given to a party under or in connection with this Agreement shall be in writing and shall be:
- delivered by hand or by pre-paid first-class post or other next working day delivery service at its registered office (if a company) or its principal place of business (in any other case); or
- sent by email to the Customer to the email address specified in Section A, or to Luuc to: contact@luuc.co.uk
- Any notice shall be deemed to have been received:
- if delivered by hand, on signature of a delivery receipt; and
- if sent by pre-paid first-class post or other next working day delivery service, at 00 am on the second Business Day after posting; and
- If sent by email, at the time of transmission, or, if this time falls outside business hours in the place of receipt, when business hours resume. In this clause 3.2.3, business hours means 9.00am to 5.00pm Monday to Friday on a day that is not a public holiday in the place of receipt.
- This clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute
- If any provision or part-provision of this Agreement is or becomes invalid, illegal

SECTION D: SPECIAL CONDITIONS OF TESTING
- This section only applies if you have requested Luuc to provide testing
- Luuc will conduct, at the request of the Customer, the tests specified on the submitted Order in accordance with, and subject to, the Agreement and the following special conditions:
- All Orders for tests are subject to acceptance by Luuc, and no Order will constitute a binding commitment of Luuc unless and until such Order is accepted by it, as evidenced by the Test Report. The Test Report is issued solely by Luuc, is intended for the exclusive use of the Customer and shall not be published, used for advertising purposes, copied or replicated for distribution to any other person or entity or otherwise publicly disclosed without the prior written consent of
- If the Customer anticipates using the Test Report in any legal proceedings, arbitration, dispute resolution forum or other proceedings, it shall so notify Luuc prior to submitting the Test Report. Luuc shall have no obligation to provide a fact or expert witness at such proceedings unless Luuc agrees in writing, in advance, to do so for an additional
